PART A — BUSINESS SUBSCRIPTION TERMS

1. Agreement, scope and acceptance

1.1 These terms form an agreement between the operator identified above (Catero, we, us or our) and the person or legal entity that subscribes to the Service (you or your). Catero supplies software for event enquiries, automated quoting and related business administration. Part A applies to business subscribers and their authorised users. Part B applies separately to people using a customer-facing Catero form, quote or payment interface.

1.2 For a new subscriber, Part A takes effect when you create your account and expressly accept these terms during registration (Commencement Date). Catero records your Commencement Date and the accepted version against your account. For an existing account first adopting these terms, they take effect when you expressly accept them through a recorded acceptance process, without retrospective application. A person accepting for an organisation represents that they have authority to bind it. Authorised users must follow the use, confidentiality and security duties applicable to their access. An invitation alone does not authorise a user to subscribe for a different legal entity.

1.3 The agreement comprises Part A, the plan and fees disclosed and accepted at checkout, and any separately signed order or data processing agreement. A signed document prevails over these terms only to the extent that it expressly varies them. Checkout terms prevail for the selected price and billing period. Your own purchase order terms do not apply unless we expressly accept them in writing.

1.4 The Privacy Policy at https://catero.com.au/privacy explains personal information handling. A privacy notice is not consent to marketing or a substitute for any consent required by law. Nothing in this agreement excludes, restricts or modifies a right, guarantee, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law (Non-excludable Rights).

2. Definitions

2.1 Service means the Catero hosted software, dashboard, branded enquiry widgets, quote interfaces, documentation and associated features made available under your plan. A Business Profile is a separate workspace for a catering or other event business, with its own menu, pricing rules, enquiries and team access. The Billing Account is the account responsible for subscription and platform fees across linked Business Profiles.

2.2 Customer means a person enquiring about or purchasing event services from a Business Profile. Event Services means the catering, food truck, delivery, staffing, hire or other event services supplied by that business. A Booking is an event transaction agreed between that business and its Customer. Customer Data includes information, text, menus, images, rules, customer details, event records and other material submitted to or generated for you through the Service.

2.3 Booking Value means the agreed total amount for the Event Services, including GST and agreed extras, after discounts, but excluding Catero's separately added platform fee and its GST, payment processing fees, voluntary gratuities and refundable security bonds. The fee calculation and treatment of changes are set out in clause 11. A Business Day is a day other than a weekend or public holiday in the Australian state or territory specified in clause 28.

3. The Service and its limits

3.1 Depending on enabled features, the Service may support enquiry collection, menus and packages, pricing rules, indicative live pricing, branded quotes, quote revisions and status tracking, invoices, payment schedules, booking records, run sheets, exports, business switching and role-based access. AI assisted tools may help draft rules, descriptions or event terms.

3.2 Features described as coming soon, disabled, beta, on a roadmap or dependent on an unconnected integration are not available services or commitments to deliver by a particular date. Payment collection, automated messages, invitations, tax invoices issued by Catero and other integrations operate only when enabled and configured. We will describe material limits before you purchase a plan that depends on them.

3.3 We will provide the Service with due care and skill and take reasonable steps to maintain its operation and security. We do not promise uninterrupted operation, error-free calculations, any level of sales or profitability, or that every enquiry will convert into a booking. Any separately agreed service level applies only if recorded in writing.

3.4 Catero is not the caterer, event organiser, venue, employer of your staff, insurer, accountant or legal adviser. We do not inspect food, verify allergy claims, check licences, supervise events or guarantee a Customer's identity or payment. These limits do not remove our responsibility for our own software or any Non-excludable Rights.

4. Eligibility, account information and security

4.1 You must be legally capable of entering the agreement, use the Service for a lawful business purpose and provide accurate account, billing and business details. Account owners must be at least 18. You must promptly update material changes to your identity, contact details, tax information or authority to act for a Business Profile.

4.2 Use individual user accounts, keep credentials confidential, use available security controls and remove access when a team member no longer needs it. Do not share an owner's login as a substitute for team permissions. Notify us promptly if you suspect unauthorised access, a compromised customer link or an incorrect payment destination.

4.3 You are responsible for actions you authorise and for reasonable management of your users. You are not automatically responsible for unauthorised activity caused by our breach, negligence or security failure. We may reasonably verify account ownership before granting access, changing an owner or releasing an export. We will not resolve a dispute between business owners by transferring an account solely on an unverified request.

5. Multiple businesses and team permissions

5.1 Each Business Profile is a separate operational workspace. Linking profiles to one Billing Account consolidates billing; it does not merge their legal identities, records or customer contracts. You must have authority to administer each linked business and identify the actual supplier correctly on its quotes and invoices.

5.2 The Billing Account holder is responsible for disclosed fees for the linked profiles it authorises. A separately owned business is not made liable for another business's obligations merely by sharing a billing arrangement. Changes of owner or transfers of profiles require our written approval and reasonable verification.

5.3 Owners have full access, including billing, pausing and deletion. Managers may manage quotes, menus, packages, pricing rules and operational settings but do not have billing access. Staff access is limited to viewing bookings and run sheets. The permission interface identifies the access actually enabled; you must review it before inviting a user and after a role change.

5.4 Select the correct Business Profile before making changes or exporting records. Do not grant a person access to another business without authority. Pending invitations do not guarantee that an email has been delivered or that a user has joined. Invitation delivery depends on the email service being enabled.

6. Configuration, testing and automated quoting

6.1 You control your menus, package prices, minimum spend, guest rules, children's pricing, event types, service areas, travel and staffing charges, taxes, deposits, due dates, capacity, notice periods, validity periods and other business settings. You must check that they reflect your actual services and lawful trading practices before enabling live quotes.

6.2 Test representative enquiries, including short-notice events, large and small guest counts, add-ons, travel, different tax treatments, overlapping dates and deposits. Check the final price, rounding, inclusions and exclusions. Recheck material configuration changes. Where the Service flags a matter for manual review, resolve it before treating the result as approved.

6.3 You authorise Catero to apply your approved configuration to generate quotes and perform the automated actions you enable. If an enabled workflow sends quotes without further review, you authorise those sends within the selected settings. This authority does not permit Catero to change your commercial terms without your instruction or a clearly disclosed product rule.

6.4 Live widget pricing may be an estimate rather than a final offer. Clearly label indicative pricing and identify the step that constitutes the final quote. You must not describe a price as provisional after acceptance if the Customer was led to believe it was final. Obvious errors do not give you an unrestricted right to rewrite an accepted bargain; deal with errors promptly and lawfully.

6.5 The Service may retain a snapshot or version of a sent quote. Later changes to menus or pricing rules do not automatically change that quote or an existing Booking. Use the revision process, notify the Customer and obtain agreement where required. You remain responsible for identifying and correcting conflicting manual entries; we remain responsible for defects attributable to our Service, subject to clause 25.

7. AI assisted features

7.1 AI outputs may be incomplete, inaccurate, inconsistent or unsuitable for a particular event, law or business. They are drafts for review. Before publishing or activating an output, check prices, rule logic, tax treatment, factual claims, dietary tags, intellectual property and legal terms. AI generated contract language is not legal advice.

7.2 Do not rely on AI to decide whether food is safe for a person with an allergy, to confirm legal compliance or to determine a Customer's legal rights. AI recommendations do not replace your judgement or professional advice where needed. The Service must not be used for unlawful discrimination or prohibited automated decision-making.

7.3 Submit only information you are authorised to provide and reasonably need for the task. Do not place passwords, payment card details or unnecessary sensitive personal information in AI prompts. We will describe relevant AI providers, data uses and overseas handling in our privacy disclosures. We will not use identifiable Customer Data to train general-purpose AI models without a separate lawful basis and any required consent.

7.4 As between you and Catero, you may use outputs generated for you for lawful business purposes, subject to third-party rights. AI outputs may not be unique and may not qualify for intellectual property protection. This clause does not transfer rights that neither party owns.

8. Your contracts with event customers

8.1 Each contract for Event Services is between the supplier identified on the quote and the Customer. Catero supplies the software interface and is not a party to that event contract. Display your legal name, business contact details, ABN where applicable, clear inclusions, total price and applicable event terms before acceptance.

8.2 Your event terms should state how a Booking becomes binding, when a date is held, when a deposit is due, the payment schedule, cancellation and rescheduling rights, guest-number deadlines, site requirements, service times and arrangements if you cannot perform. They must preserve mandatory consumer rights and must not impose disproportionate cancellation or late fees.

8.3 A status such as accepted, invoiced, part paid or paid in full records a workflow state. It is not a legal opinion, an assurance of cleared funds or a guarantee that capacity is available. Configure acceptance, capacity reservation and deposit requirements consistently with the terms presented to Customers. If acceptance creates a contract before the date is confirmed, explain that distinction clearly.

8.4 Electronic actions and audit records may be evidence of an agreement but are not conclusive proof of identity, authority or enforceability. Maintain the relevant quote version, event terms, acceptance record and correspondence. A requested change is not agreed merely because it appears in an enquiry or internal note.

8.5 You must handle Customer complaints, fulfil Event Services, provide lawful refunds and communicate material changes. We will reasonably assist with Service records available to us, subject to privacy, security and applicable law. A dispute about our software can be raised directly with Catero.

9. Event operations, availability and dietary information

9.1 Capacity settings, calendars, event slots and run sheets assist planning. They do not independently verify staff, vehicle availability, travel time, venue access, permits, insurance, utilities or safety. Keep external bookings and resources up to date and check conflicts before confirming an event.

9.2 A new enquiry, accepted quote, reserved capacity and confirmed booking may be different stages. The public messages, capacity settings and event contract must describe the same process. A date-release rule must not cancel a binding contract or forfeit a deposit contrary to the event terms or applicable law.

9.3 Menu tags and dietary counts reflect information supplied or approved by the business; they are not a food safety certification. Verify ingredients, substitutions, preparation and cross-contamination risks. Obtain direct confirmation of serious allergies and what can safely be supplied. Do not claim food is allergen-free unless you can support that claim.

9.4 Collect only dietary information reasonably needed for the event. Prefer aggregate requirements where individual names are unnecessary. Allergy, health and religious dietary information may be sensitive information. Provide appropriate notices and obtain consent or another lawful basis where required, including when an organiser supplies information about guests.

10. Subscription charges, renewal and cancellation

10.1 Unless a different written plan is agreed, the first active Business Profile costs AUD $79 per month excluding GST and each additional active Business Profile costs AUD $59 per month excluding GST. At a 10% GST rate those amounts are $86.90 and $64.90 respectively. Your Billing Account shows the active profiles and total recurring charge before you authorise payment.

10.2 A monthly subscription renews each month on the disclosed billing date until cancelled. There is no fixed minimum term beyond the current monthly period unless expressly agreed. We will disclose the start date, payment method and any trial or promotional conditions before billing begins. A trial will not convert to paid service without prior clear agreement to the conversion and price.

10.3 If billing has not been activated, no subscription or platform fee is collected through an inactive payment facility. Before paid service starts, we will tell you the commencement date and charges and obtain any required payment authority. We will not retrospectively bill for a period expressly represented as free or unbilled.

10.4 An additional profile activated during a billing month is charged proportionately for the remaining days of that month. If a pause or cancellation leaves one active profile, the first-profile rate applies to that remaining profile from the next billing cycle. We will show the changed total before a user confirms a change that increases the charge.

10.5 You may cancel renewal through the billing controls or by contacting support if those controls are unavailable. Ordinary cancellation takes effect at the end of the paid period and access continues until then, unless you choose immediate deletion. We do not charge a separate cancellation penalty. Fees for a period already supplied are not ordinarily refunded for a change of mind, but statutory rights and the refunds expressly provided in these terms continue to apply.

10.6 We may change subscription prices on at least 30 days' written notice, effective no earlier than your next renewal after that notice period. You may cancel before the change takes effect. Changes do not retrospectively increase charges for a paid period. A separately agreed fixed-price term remains fixed for its stated duration.

11. Booking platform fee

11.1 Where payment processing and the platform-fee feature are active and you have accepted them, Catero charges 2% of the Booking Value, plus GST on that fee. The fee applies to each enabled Booking for each Business Profile. It is earned when the initial booking payment successfully clears, rather than when an enquiry is received or a quote is merely viewed or accepted.

11.2 The platform fee is deducted once from the initial deposit or, if payment is required in full upfront, from that initial payment. It is not charged again on subsequent instalments for the same Booking Value. Payment processor charges are separate. The deposit may be raised to cover the platform fee including its GST; any such minimum must be shown in the quote before acceptance.

11.3 For example, if Booking Value is $2,000 including any GST on Event Services and the deposit is $200, the platform fee is $40 plus $4 GST. Before separate processor charges, you receive $156 from the deposit and the later $1,800 balance. This is an illustration of the fee calculation, not a promise of payout timing or net processor charges.

11.4 If you lawfully choose to recover the platform fee from the Customer, it must be disclosed and included in the Customer's total payable price before acceptance. On the same example, a separately disclosed $44 charge increases the initial amount payable to $244 and leaves $200 for you before processor charges. That $44 is excluded from Booking Value so the platform fee is not calculated on itself. You remain the party liable to Catero for the platform fee.

11.5 A platform fee must not be used to disguise a prohibited card surcharge. You must comply with applicable pricing, payment-provider and card-network rules, including any no-surcharge requirements. An available software setting does not establish that a surcharge, late fee or other charge is lawful. Catero may disable a setting to comply with law or payment-network requirements and will explain any material effect.

11.6 Changes agreed before the initial payment change the fee base accordingly. For an agreed increase after that payment, the 2% fee plus GST applies only to the additional Booking Value and is shown before the revised amount is confirmed. A reduction or refund produces a proportionate credit of Catero's platform fee and its GST. There is no duplicate fee for the same value or a replacement quote for the same Booking.

11.7 If a Booking is fully refunded, Catero will refund or credit its platform fee and corresponding GST. If part is refunded, the credit is proportional to the reduction in Booking Value. A processor may retain its own fees under its separate terms; we do not describe those fees as Catero's fees. Credits are processed within a reasonable time after the refund is verified and any relevant payment dispute is resolved.

11.8 We will provide an itemised record and a compliant tax invoice where required for Catero's own fees. A Customer invoice for Event Services is distinct from Catero's fee invoice to you. No automatic fee is charged on a transaction completed entirely outside an enabled collection workflow unless a separate disclosed arrangement has been agreed. You must not falsely label or split a transaction to evade a fee already properly due under this agreement.

12. Payment processing, payouts and payment disputes

12.1 Online payments depend on an enabled third-party payment provider, currently intended to be Stripe through a connected business account. Before activation, the actual provider, applicable terms and payment flow will be disclosed. You may need to complete identity and business checks and accept the provider's agreement directly. We do not guarantee that an application will be approved.

12.2 When connected collection is enabled, you authorise the payment provider to collect Customer payments and deduct the disclosed Catero fee and agreed processing charges. This is a limited payment instruction, not a general authority for Catero to operate your bank account. Catero does not offer a bank account, deposit-taking service, insurance or escrow protection.

12.3 Payout timing, settlement, reserves, verification holds, currency conversion and available payment methods depend on the provider and your account status. A successful payment notification is not a guarantee that a transaction cannot later be reversed. Do not rely on a manually marked paid status as evidence of settlement. Verify payment in the relevant payment or bank records.

12.4 You are responsible for refunds and chargebacks relating to your Event Services to the extent they are properly payable by you, including documented processor charges under the provider agreement. You are not responsible under this clause for loss caused by Catero's own breach or negligence. We may provide transaction records to assist a dispute and will give reasonable notice of a claim requiring your response.

12.5 We will not debit an undisclosed amount, impose our own reserve or take unrelated funds without a separately disclosed lawful authority. Any direct debit mandate must state its scope, notice arrangements and cancellation process. Revoking a payment authority does not extinguish a properly incurred debt but must not prevent you exercising a lawful refund or dispute right.

12.6 Offline balances, cash and bank payments may be recorded where enabled. You must enter them accurately, reconcile amounts and make refunds through the appropriate payment channel. We do not physically receive or safeguard cash or verify bank transfers recorded by you.

13. Taxes, invoices and overdue amounts

13.1 Unless stated otherwise, business subscription and Catero platform-fee prices exclude GST, which is added where legally payable. Customer-facing Event Services prices must be displayed in the form required by applicable law, including mandatory charges and GST where applicable. Your GST registration and tax settings do not determine Catero's separate GST obligations.

13.2 You are responsible for the accuracy of your Event Services invoices, ABN, tax rate, GST registration, discounts and tax reporting. Software calculations and exports assist administration and do not constitute tax advice or certification that a document is a valid tax invoice.

13.3 If an authorised subscription payment fails, we will notify the Billing Account contact and allow at least seven days to update payment or raise a good-faith dispute before suspending for non-payment. We will make reasonable efforts to resolve disputed fees. You must pay undisputed amounts when due. We do not impose a late-payment penalty under these terms.

13.4 We may recover reasonable, documented external recovery costs for an undisputed overdue debt only where lawfully recoverable, after reasonable notice, and without duplicating amounts already recovered. Nothing restricts lawful chargeback rights or access to a regulator, tribunal or court.

14. Widgets, communications and integrations

14.1 You may embed Catero's widget on websites you control or share the provided link for your Business Profile. Keep the supplier identity, privacy notices, required disclosures and Catero attribution visible where required by the supplied interface. Do not misrepresent another business's identity or collect information under a misleading brand.

14.2 Customer quote and invoice links may expose information to anyone who possesses them. Share them only with intended recipients, avoid public posting and notify us of unintended disclosure. Your own website's security, accessibility, cookies and third-party scripts remain your responsibility; we are responsible for the Catero components we supply.

14.3 You authorise operational communications that you enable, such as quotes, invoice reminders and booking updates. Verify recipients, templates, time zones and due dates. Delivery depends on the relevant service being connected and may fail or be delayed. Monitor material communications and maintain a fallback for urgent events.

14.4 Marketing requires its own lawful basis. You must maintain consent records, identify the sender and provide and honour unsubscribe mechanisms where required. An enquiry, quote request or acceptance of these terms does not by itself authorise unrelated marketing.

14.5 Third-party integrations are subject to their providers' terms and availability. Connect only services you are authorised to use and review access scopes before enabling them. Disconnecting an integration may stop related workflows. We remain responsible for our own integration implementation and cannot disclaim our obligations merely because a subcontractor is involved.

15. Customer Data and intellectual property

15.1 You retain your rights in Customer Data. You grant Catero a non-exclusive licence to host, copy, process, format, transmit and display it only as reasonably needed to supply, secure, support and administer the Service, comply with law and carry out your instructions. This licence ends when no longer needed for those purposes, subject to lawful retention under clause 21.

15.1A By uploading, entering or connecting Customer Data, you grant Catero a perpetual, irrevocable, worldwide, royalty-free right to access, review, copy and use that data to supply, support, secure, audit, test and improve the Service, to investigate misuse and to comply with law. Catero may use de-identified or aggregated data to develop and improve its products. This right survives pausing, termination or deletion of your account, but does not permit Catero to sell personal information or to use it inconsistently with the Privacy Act 1988 (Cth) or the Privacy Policy.

15.2 You must have the necessary rights and permissions for uploaded photographs, logos, menus, customer information and other content. We may resize or compress media and format content for display without changing its intended meaning. Do not upload unlawful, infringing or malicious content.

15.3 Catero and its licensors retain their rights in the software, designs, documentation, brand and underlying technology. While your subscription is active, we grant you a limited, non-exclusive right to access the Service for the authorised businesses and users under your plan. You may use exports and copies of your own business records after the subscription ends.

15.4 We may use genuinely de-identified, aggregated service information for analytics and improvement where it does not reasonably identify you, your Customers or an individual. We will not sell identifiable Customer Data or use your logo or name in public endorsements without permission.

15.5 You may provide feedback voluntarily. We may use feedback to improve the Service without payment, provided we do not disclose your confidential information or claim ownership of your business records or pre-existing intellectual property.

16. Privacy and data processing

16.1 Each party must comply with privacy and data protection laws applicable to its own activities. Your business determines why event and Customer information is collected and used for its Event Services. Catero handles that information to provide the Service and separately handles its own account, billing and security information. These descriptions do not override statutory responsibilities or determine a party's legal role in every jurisdiction.

16.2 You must give appropriate collection notices, identify Catero's involvement and establish a lawful basis for collecting and providing personal information, including information supplied about other people. Collect the minimum necessary information and respond to Customer requests about your Event Services records. We will provide reasonable assistance with access, correction and deletion requests affecting data held through the Service.

16.3 Catero will limit access to personnel and service providers who need it for authorised purposes and require appropriate confidentiality and security obligations. Hosting, email, payment and AI providers, relevant overseas handling and retention practices will be described in the Privacy Policy or an agreed data processing schedule. Acceptance of these terms is not a blanket waiver of privacy rights or blanket consent to overseas disclosure.

16.4 Do not upload government identifiers, full payment card numbers, passwords, medical records or other highly sensitive information unless a specifically supported feature and lawful arrangement permits it. Dietary information must be handled as described in clause 9. Payment credentials should be entered only into the payment provider's secure interface.

16.5 Where additional law requires a data processing agreement, international transfer mechanism or other safeguards, those arrangements must be in place before the affected processing starts. We do not promise compliance with every overseas regime simply because the Service can be accessed from another country.

17. Security, incidents and confidential information

17.1 Catero will maintain reasonable technical and organisational safeguards appropriate to the information and Service. No internet service is completely secure. Each party must promptly notify the other of a suspected incident affecting the other's data or account and cooperate reasonably to contain it and reduce harm.

17.2 If we become aware of a security incident affecting Customer Data, we will notify the affected account contact without undue delay, provide available material information and updates, and assist with required assessments and notifications. Neither party may delay a legally required notification because it is waiting for the other's approval.

17.3 Each party must protect non-public information received from the other using reasonable care and use it only for the agreement. Disclosure is permitted to personnel, professional advisers and service providers who need to know and are subject to suitable duties, or when required by law. Where lawful, the disclosing party will notify the other before a compelled disclosure.

17.4 Confidentiality does not cover information lawfully public, already known without restriction, independently developed or lawfully obtained from another source. Personal information remains subject to applicable privacy obligations even if another confidentiality exception applies. Confidentiality duties continue after termination while the information remains confidential.

18. Acceptable use

18.1 Do not use the Service to commit fraud, impersonate a person, infringe rights, harass others, send unlawful spam, distribute malware, access another account without authority or collect personal information unlawfully. Do not falsify payment records, invoices, quote acceptances or business identities.

18.2 Do not intentionally disrupt the Service, bypass access or billing controls, conduct unauthorised security testing, scrape other businesses' records or reverse engineer protected technology except to the extent permitted by applicable law. Report suspected vulnerabilities responsibly to admin@catero.com.au.

18.3 Reasonable use within your purchased plan is permitted. We will not impose undisclosed usage charges or retrospective limits. If usage creates a material security or stability problem, we will discuss proportionate restrictions or a suitable plan; urgent containment may be necessary under clause 20.

19. Support, maintenance and product changes

19.1 Contact support at admin@catero.com.au. Unless a separate service level is agreed, support is provided on a reasonable-efforts basis with no guaranteed response time. Tell us promptly about material errors and provide enough information for diagnosis without unnecessarily exposing personal information.

19.2 We may perform maintenance and make changes to improve performance, security or compliance. We will give reasonable advance notice of planned material disruption where practicable. We may act urgently to address a vulnerability or legal requirement and will explain a material effect as soon as reasonably practicable.

19.3 We will not materially reduce the core paid functionality during a prepaid period without a reasonable remedy. If a change materially disadvantages you, we will give at least 30 days' notice where practicable, allow cancellation before it takes effect and refund prepaid subscription fees for the unused affected period if you cancel because of the change. Security and legal changes may require shorter notice.

20. Suspension and termination for cause

20.1 We may suspend only the affected access or feature where reasonably necessary to address a material security threat, unlawful activity, serious misuse, a binding legal requirement or an overdue amount after the notice in clause 13. We will consider the seriousness, available alternatives and effect on existing events. Suspension is not an automatic forfeiture of Customer payments.

20.2 Except where immediate action is reasonably required, we will explain the concern and give a reasonable opportunity to respond or remedy it. If immediate suspension is necessary, we will notify you promptly unless prohibited by law. We will review the restriction and restore access when the issue is resolved.

20.3 Either party may terminate for a material breach not remedied within 14 days after written notice, or immediately for a serious breach incapable of remedy. You may also terminate and seek available remedies where we fail to provide the Service as required by law. We will not terminate merely because you raise a good-faith complaint or exercise a statutory right.

20.4 If we discontinue the Service without your breach, we will ordinarily give at least 30 days' notice, a reasonable export opportunity and a proportional refund of prepaid subscription fees for the unused period. Properly incurred charges remain payable, subject to dispute rights. We do not accelerate future monthly fees on termination.

21. Pausing, deletion, exports and retention

21.1 An Owner may pause an individual Business Profile using the account controls. Its widget stops accepting new enquiries and no subscription fee accrues for the paused period. Pausing takes effect when confirmed. Any prepaid subscription amount for the unused paused period is credited to the Billing Account or refunded on request. Already incurred booking fees and obligations to Customers are unaffected.

21.2 Before pausing, export the available business records and verify that you can open them. The current pause flow may require an export first. CSV exports may not contain every image, attachment, layout, audit event or third-party payment record. Contact support before pausing if you need an item not included. Keep your own accounting, tax and event records for applicable retention periods.

21.3 A paused Business Profile is retained for up to two calendar months from confirmation of the pause. Reactivate or export required information before the deletion deadline shown in the pause notice. We will send a reminder at least seven days before scheduled deletion to the Owner's recorded email. Do not rely solely on delivery of that reminder. After the deadline, the profile's operational data is permanently deleted and cannot ordinarily be recovered through the Service.

21.4 An Owner may request immediate deletion by completing the confirmation flow. This disables access and removes the Business Profile and associated operational records from the live Service without a recovery period. It can remove quotes, bookings, invoices, menus and team access. Export first and arrange ongoing events, refunds and Customer communications before confirming. Deletion does not cancel your Customer contracts or erase records held independently by Customers or payment providers.

21.5 Cancellation without immediate deletion leaves access until the paid period ends, followed by a 30-day export window unless you choose pause or immediate deletion. If ordinary controls are unavailable during an export window, we will provide a reasonable alternative. The 30-day window does not extend the separate two-month pause limit or reverse an immediate deletion request.

21.6 Deletion from the live Service does not mean every copy disappears instantly. Limited backups, security records and records required for tax, legal claims or regulatory obligations may be retained only for the relevant purpose and period, protected from ordinary use, then deleted or de-identified. Backup removal follows the retention schedule disclosed in the Privacy Policy. We do not promise recovery from backups. Any retention required by law overrides a request to erase the relevant record, not unrelated records.

21.7 We will not withhold access to an otherwise available export solely to pressure payment of a genuinely disputed fee. You remain responsible for lawful export, storage and sharing of personal information. Reactivation after a pause requires confirmation of the then-applicable recurring price and does not guarantee restoration after deletion.

22. Warranties and mandatory remedies

22.1 Each party represents that it has authority to enter and perform the agreement. We will supply the Service with due care and skill and comply with applicable obligations. You must use the Service lawfully and provide information you reasonably believe to be accurate.

22.2 Except for express promises in the agreement and Non-excludable Rights, we do not give additional warranties that the Service will suit every business process, achieve a commercial outcome or replace independent verification. These limits do not excuse a failure to meet an express description or a mandatory guarantee.

22.3 Where the Australian Consumer Law or another mandatory law gives you a right to repair, resupply, refund, cancellation, compensation or another remedy, that right applies despite a limitation elsewhere in this agreement. Business use does not by itself remove consumer guarantees. Contact us promptly about a fault so we can assess and address it, without limiting your right to seek remedies elsewhere.

23. Third-party claims and intellectual property protection

23.1 If a third party claims that your authorised use of Catero's own software infringes its Australian intellectual property rights, notify us promptly and allow us a reasonable opportunity to manage the response. We will defend or resolve the claim and pay amounts awarded against you or agreed in a settlement we approve, to the extent caused by our software rather than your content, unauthorised modifications or a combination we did not supply or require.

23.2 We may obtain a right for you to continue using the affected feature, modify it without materially reducing its function or, if neither is reasonably available, end that feature and refund prepaid subscription charges attributable to its unused period. We will not settle a claim in a way that requires you to admit fault, make a payment or take on a material obligation without your consent.

23.3 You are responsible for reasonable direct losses arising from a third-party claim to the extent caused by your unlawful content, infringement of rights or deliberate misuse of the Service. This is not a blanket indemnity for all activity in your account. You are not liable under this clause to the extent we caused or contributed to the loss. We must notify you, take reasonable mitigation steps and allow reasonable participation in the defence. Clause 25 applies to both parties' liability under this clause.

24. Complaints and dispute resolution

24.1 Send complaints to admin@catero.com.au with the account or transaction reference, a description and the outcome sought. Do not include full payment card details or unnecessary sensitive information. We will acknowledge complaints within five Business Days and aim to provide a substantive response within 20 Business Days, or explain a delay and the next steps.

24.2 Before court proceedings, the parties will try in good faith to resolve a dispute through discussion for 20 Business Days after written notice. If unresolved, they may agree to independent mediation and share mediator fees equally unless another allocation is agreed. Neither party is required to accept a settlement or to incur unreasonable travel or mediation costs.

24.3 This process does not prevent urgent relief, action needed to preserve a limitation period, an application to an available small claims tribunal, a complaint to a regulator or ombudsman, or exercise of a Non-excludable Right. It does not impose confidential arbitration or prohibit truthful reviews.

25. Liability and allocation of risk

25.1 Each party is responsible for reasonably foreseeable loss caused by its breach, negligence or unlawful conduct, subject to this clause and Non-excludable Rights. Each must take reasonable steps to reduce loss. Liability is reduced to the extent the other party caused or contributed to it.

25.2 Subject to clause 25.4, each party's aggregate liability arising out of or in connection with the agreement is limited to the greater of AUD $10,000 and the Catero subscription and platform fees paid or payable by you during the 12 months before the first event giving rise to the claim. Customer payments for Event Services are not Catero fees for this calculation. Connected claims arising from the same events are treated as one claim.

25.3 Subject to clause 25.4, neither party is liable for a loss that was not reasonably foreseeable when the agreement was made. Reasonable, foreseeable costs of restoring data, responding to a security incident or correcting erroneous business records are not excluded merely because they are described as consequential. There is no blanket exclusion of every lost booking or business loss where that exclusion would remove a mandatory remedy.

25.4 The cap and exclusions do not limit Non-excludable Rights; liability for fraud, wilful misconduct, death or personal injury caused by negligence; your obligation to pay properly incurred undisputed charges; or either party's obligation to return money belonging to the other or to Customers. The agreement does not permit retention of Customer funds to satisfy unrelated claims.

25.5 We do not make you liable for our own negligence or a failure by a supplier we use to perform our obligations. Neither party may recover twice for the same loss. Nothing in this clause prevents a court from applying mandatory protections, including rules about unfair contract terms.

26. Events beyond reasonable control

26.1 A party is not responsible for delay to the extent caused by an event beyond its reasonable control which it could not reasonably prevent or overcome, provided it promptly notifies the other, takes reasonable mitigation steps and resumes performance as soon as practicable. Ordinary resourcing problems, lack of funds and preventable security failures are not automatically beyond reasonable control.

26.2 This clause does not excuse accrued payment obligations, eliminate mandatory remedies or determine whether your Customer is entitled to an event refund. If a material Service interruption continues for more than 30 days, you may terminate the affected Service and receive a proportional refund for prepaid unused subscription time. Any additional statutory remedies remain available.

27. Changes to these terms and notices

27.1 We may propose changes for product, legal or business reasons by giving at least 30 days' notice of material changes and a summary of their effect. Changes apply prospectively from the stated date and do not rewrite existing Customer event contracts or fees already incurred. Price changes also follow clause 10.6.

27.2 If a material change disadvantages you, you may cancel before it takes effect and receive a proportional refund of prepaid subscription fees for the unused affected period. We will obtain fresh express agreement where required by law or where a change introduces a new material payment authority. Urgent legal or security changes may take effect sooner, with notice and explanation as soon as reasonably practicable.

27.3 Notices may be delivered to the recorded account email and through the Service. Keep your contact details current. We will not treat a notice as received if we know delivery failed and will take reasonable alternative steps for a material notice. Formal notices to Catero may be sent to the contact details at the start of this agreement.

28. General provisions

28.1 The agreement is governed by the laws of New South Wales and applicable Commonwealth law. The parties submit to the non-exclusive jurisdiction of its courts. This does not remove a mandatory right to use a court, tribunal or regulator elsewhere.

28.2 Neither party may transfer the agreement without the other's consent, which must not be unreasonably withheld. We may transfer it as part of a genuine business restructure or sale if the successor can reasonably perform the obligations, your rights are not materially reduced and you are notified. If the transfer materially disadvantages you, you may cancel and receive a proportional refund of prepaid unused subscription fees.

28.3 Neither party is the other's partner, employer or general agent. The limited payment instructions in clause 12 do not create broader authority to bind you. We may use subcontractors but remain responsible for our obligations. A failure to enforce a provision is not a permanent waiver.

28.4 If a provision is invalid or unenforceable, it is severed to the minimum necessary and the remaining terms continue, subject to applicable law. No provision is to be rewritten in a way that removes mandatory protections. The agreement records the agreed Service terms but does not exclude liability for misleading conduct or reliance that law protects.

28.5 Clauses that by their nature need to continue after termination do so, including accrued payment and refund obligations, data retention limits, confidentiality, intellectual property, disputes, liability and Non-excludable Rights.

PART B — CUSTOMER WIDGET AND QUOTE TERMS

B1. Who supplies what

B1.1 These terms govern your use of a Catero-powered enquiry form, quote, booking or payment interface. Catero is operated by TRUCK-EATS-TECH PTY LTD, ABN 99 703 240 126, ACN 703 240 126, contact admin@catero.com.au. The catering or event business identified on the interface is the supplier of the Event Services. Catero supplies the software and does not prepare food, operate the event or insure the supplier's performance.

B1.2 Your Event Services contract is with the named business under the quote and event terms presented before acceptance. These customer interface terms do not replace that contract, impose a separate subscription on you or reduce rights you have against the supplier or Catero under law. Before accepting, check the supplier's identity and contact details.

B2. Enquiries, estimates and acceptance

B2.1 Provide accurate information about the event, guest numbers, location, timing and requested services. You must have authority to make an enquiry or booking for another person or organisation. An enquiry alone does not confirm a booking or reserve a date. An indicative live price is an estimate if labelled as such; the final quote identifies the actual offer and conditions.

B2.2 Review the complete quote, inclusions, exclusions, total price, taxes, deposit, balance due dates, cancellation terms and booking conditions before accepting. Ask the supplier about anything unclear or incorrect. The supplier's event terms must explain whether acceptance creates a contract immediately and whether payment or another confirmation is needed to secure the date.

B2.3 Acceptance, payment and a reserved event slot can be separate steps. A software status is not a guarantee of availability or cleared payment. Save the accepted quote and terms. Changes require agreement with the supplier; a message requesting a change does not itself vary the contract.

B2.4 The supplier must deal with pricing errors and proposed changes lawfully. These terms do not give Catero or the supplier a general right to increase an accepted price, cancel without a remedy or retain a payment unfairly.

B3. Payments, fees and refunds

B3.1 Pay only through the payment methods identified by the supplier and the secure payment provider interface. Online payment is available only where enabled. Check the recipient and amount before paying; contact the supplier using independently verified details if payment instructions unexpectedly change.

B3.2 The total payable price, including any mandatory fee passed on to you, must be disclosed before acceptance and payment. Catero's platform fee is ordinarily payable by the supplier. You owe a separately passed-on amount only where it has been lawfully disclosed and agreed as part of your Event Services transaction. A fee must not be used to disguise a prohibited card surcharge.

B3.3 Deposit due dates, balance payments, short-notice payment requirements and any lawful cancellation charges are set out in your event contract. There is no blanket rule under these interface terms that every deposit is non-refundable. Refund rights depend on the contract and mandatory law, including rights where services are not supplied or do not meet consumer guarantees.

B3.4 Contact the supplier first for an event cancellation, reschedule, service complaint or refund. Contact Catero at admin@catero.com.au for a software, duplicate-payment or interface problem. We will reasonably assist with records and the payment provider where appropriate. This does not restrict your rights to contact your bank, a regulator, tribunal or court.

B4. Dietary requirements and event details

B4.1 Tell the supplier about relevant dietary needs and allergies and ask for direct confirmation of what can be accommodated. Menu tags and automated counts describe information supplied by the business and are not a guarantee of allergen-free preparation. Do not assume a serious allergy can be accommodated solely because a dish has a tag.

B4.2 Provide only information reasonably necessary for the event and avoid unnecessary medical details or names of guests. If providing information about someone else, make sure you have authority and any consent required. For an urgent or serious allergy issue, contact the supplier directly rather than relying only on a form entry.

B4.3 Confirm access, service times, guest numbers and venue requirements directly with the supplier where needed. Catero does not independently inspect the venue or verify the supplier's staffing, permits or equipment.

B5. Privacy, links and responsible use

B5.1 Information entered into the interface is provided to the identified business and processed by Catero and relevant service providers for the functions described in the collection notice and Privacy Policy at https://catero.com.au/privacy. The supplier's own privacy notice also applies to its use of the information. Requesting a quote is not blanket consent to unrelated marketing.

B5.2 Quote and invoice links may provide access to personal or event information. Keep them private and share only with intended recipients. Do not access someone else's records, impersonate another person, submit fraudulent information, send abusive content or interfere with the interface.

B5.3 Catero retains its software rights and the supplier retains rights in its content. You may save and share your own quote and booking records for legitimate event purposes, but must respect other people's privacy and intellectual property.

B6. Service faults and your rights

B6.1 Catero will provide its interface with due care and skill. Interruptions and errors can occur. If a time-sensitive action fails, contact the supplier directly and tell Catero about the fault. We do not guarantee email delivery, payment settlement time or the supplier's performance merely because a transaction uses Catero.

B6.2 Nothing in these terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law. Catero remains responsible for its own obligations; the supplier remains responsible for its Event Services. These terms do not make you indemnify Catero or waive a claim for our negligence.

B6.3 These terms apply in the version presented when you take the relevant action. Later revisions do not change an existing event contract or retrospectively remove a right. The laws of New South Wales and applicable Commonwealth law govern these interface terms, subject to mandatory local rights. Courts have non-exclusive jurisdiction, and you may use any tribunal, regulator or other forum available by law.
